When to request an NDA
Confidentiality can begin before the project does.
An NDA may be appropriate when a project involves non-public product ideas, technical drawings, CAD files, bills of materials, prototypes, target pricing, customer information, supplier identities or other commercially sensitive material.
The NDA should define the parties, information covered, permitted purpose, exclusions, duration, handling obligations and other agreed terms.

Both parties review the proposed wording and make any required legal or commercial changes.

Once agreed, the NDA is executed before sensitive information is exchanged where required.

NDA is not the same as the Confidentiality page.

If a project also requires non-circumvention terms, those terms should be specifically agreed rather than assumed to be part of a standard NDA.
